Special terms for Planago with hosting
Translation for information only. This English text is a convenience translation. Only the German version (Hosting-Bedingungen) is legally binding.
These terms supplement our general terms and conditions (terms) where the customer books Planago together with operation by us (“Planago with hosting”). In the event of contradictions, these terms take precedence over the general terms.
1. Provider and scope
The provider is Hölter Digital, owner Patrick Hölter, Osteroder Str. 21, 42277 Wuppertal, Germany (“provider”). The “Planago with hosting” offer is aimed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), i.e. natural or legal persons who, when concluding the contract, act in the exercise of their commercial or self-employed professional activity. The customer confirms this when ordering. Contracts with consumers are not concluded for this offer.
2. Conclusion of the contract
The presentation of the offer on planago.de is not a binding offer. The customer submits a binding offer by completing the order form, confirming the required declarations and completing payment via the payment service provider Stripe. The contract is concluded upon receipt of our order confirmation by email, which we send after successful payment. If no contract is concluded, for example because the requested address cannot be assigned, we refund any amounts already paid in full.
3. Services
The provider operates a technically separate installation of Planago for the customer on server infrastructure in Germany provided by the provider. An “own installation” does not mean that the customer receives their own server; however, the installation is technically separate from the installations of other customers. The service includes:
- setting up the installation under an address of the form name.planago.app with TLS encryption (SSL certificate), usually within two working days of the conclusion of the contract,
- the right to use Planago for this installation during the term of the contract (for the licence see section 9),
- installation of Planago updates by the provider during the term of the contract,
- data backup in accordance with section 4,
- email support for using Planago to the extent of section 5 of the general terms.
The provider endeavours to ensure availability with as few interruptions as possible. No particular availability is guaranteed. The provider carries out maintenance work at times of low usage where possible.
4. Data backup
The provider backs up the data of the installation daily and keeps the backups for 30 days. The backup serves to restore data in the event of a technical error. No guarantee is given for complete restoration or for the restoration of individual data at any time. The customer remains responsible for backing up any data they need independently of the Planago installation.
5. Obligations of the customer
- In the admin area, the customer enters the credentials of their own email mailbox (SMTP, port 587) through which Planago sends booking confirmations and reminders. Without these details, no emails can be sent. The credentials are used exclusively for sending emails from Planago and are stored in encrypted form. We recommend using a separate mailbox or a separate app password for this.
- The customer sets their password for the admin area themselves via the link in the access email and keeps their credentials secret.
- The customer is responsible for the content they enter in Planago and for an accurate privacy policy and legal notice on their own website.
- The installation may only be used for the customer's appointment booking, not for unlawful purposes and not in a way that places an excessive load on the servers (e.g. mass emailing).
6. Remuneration and payment
The prices displayed when ordering apply. Currently:
- setup including licence: €39 one-time,
- hosting in the first two contract years: €60 per year,
- hosting from the third contract year including update entitlement: €89 per year.
The setup and the first contract year are due on ordering, each further contract year in advance at its beginning. Payment is made via the payment service provider Stripe. In accordance with § 19 of the German VAT Act (UStG, small business scheme), no VAT is charged.
7. Term and cancellation
The contract is initially concluded for a fixed term of 24 months. It then renews for a further 12 months at a time unless it is cancelled with one month's notice to the end of the respective term. Ordinary cancellation before the end of the fixed term is excluded. Cancellation must be made in text form; an email to info@planago.de is sufficient. The customer can also cancel using the form at planago.de/en/cancel-hosting.html (German version: planago.de/hosting-kuendigen.html); the cancellation is confirmed to them by email together with the end of the contract. The right of both parties to extraordinary termination for good cause remains unaffected.
8. Late payment, suspension and extraordinary termination
If the customer is more than 14 days in arrears with a payment due despite a reminder, the provider may temporarily suspend the installation; the same applies in the event of a breach of section 5 or if the security of the servers is at risk. The provider informs the customer of this by email. The obligation to pay the remuneration continues during a suspension. If the late payment continues despite a reasonable deadline being set, the provider is entitled to terminate the contract extraordinarily. Section 9 then applies accordingly to the data.
9. Licence, migration and end of contract
Licence during hosting: With the setup, the customer receives a licence key for Planago (perpetual licence in accordance with section 2 of the general terms). During hosting, the licence is bound to the address name.planago.app.
Licence after the end of hosting: The licence remains permanently with the customer after the end of the hosting contract, regardless of the reason for which the contract ends, provided that the setup has been paid for. The update entitlement exists until 24 months after the start of the contract and, if hosting lasted longer, until its end. After that it can be extended for a fee as with the perpetual licence (currently €29.00 per year). Without an extension, the software continues to work, but there is no entitlement to updates or support. To use the licence under one's own domain, a release in accordance with the following paragraph is required.
Migration and domain release: The customer can move Planago to their own hosting or that of a service provider commissioned by them at any time. At their request in text form, the provider releases the binding of the licence to the planago.app address within two weeks and provides them with a personal setup file for installation under the new domain. The provider charges a flat fee of €79.00 per release. The customer receives a copy of their Planago database (bookings, appointment types and settings) free of charge on request.
After migration, only the general terms apply to the self-operated installation, in particular with regard to responsibility for the server and data backup. A migration does not end the hosting contract early; the remuneration remains payable until the end of the agreed term.
End of contract: At the customer's request before the end of the contract, the provider provides them with a copy of their data free of charge. The installation is deleted 30 days after the end of the contract; any remaining backup copies are deleted no later than 30 days thereafter.
10. Data processing on behalf
Insofar as the provider processes personal data on behalf of the customer, in particular booking data of the customer's customers, the parties conclude a data processing agreement in accordance with Art. 28 GDPR before processing begins. The data processing agreement is concluded when ordering and forms part of the contractual relationship.
11. Liability
The limitation of liability in accordance with section 6 of the general terms applies with the following proviso: insofar as the provider operates the installation, the exclusions provided there for operation by the customer (server, availability, data backup) do not apply; they are replaced by the provisions of these terms, in particular sections 3 and 4. The provider is not liable for damage caused by emails not being sent due to missing or incorrect SMTP details provided by the customer or due to disruptions at the customer's email provider.
12. Changes to prices and terms
The provider may adjust the prices for future renewal periods with at least two months' notice before the start of the respective renewal period. The price change is communicated to the customer in text form. The customer can cancel the contract until the start of the renewal period concerned, effective at the end of the current term. The same procedure applies to changes to these terms.
